XL Re Europe SE (the Company) is looking to appoint an experienced company secretary to join its Dublin office. This role would suit an ambitious candidate looking to work alongside an impressive leadership team in a collaborative and supportive environment. The Company is an Irish reinsurance company, incorporated in 2006 and headquartered in Dublin with branches in the UK, Dubai, Switzerland and France (with the potential to add branches in the future). The principal activity of the Company is the transaction of general reinsurance business globally. The Company is a member of the AXA XL Division within the AXA Group and is regulated by the Central Bank of Ireland (“CBI”).

The successful candidate will primarily provide company secretarial and corporate support to the Company at its headquarters in Dublin, but may also assist with the provision of company secretarial services for other entities within the AXA XL Division and assist the Company more generally with its corporate and commercial legal matters. The role provides a wide range of experience, exposure to senior management and board level interaction. The successful candidate will work directly alongside the Company’s Chief Executive, Chief Financial Officer, Head of Compliance and other compliance and legal team members.

The role is full time and based in Dublin, reporting to the Associate General Counsel, Ireland Corporate.

What will your essential responsibilities include?

  • Managing the delivery of efficient, effective & high-quality company secretarial services to the boards of directors & board sub-committees of the Company
  • Managing the Company’s shareholder meetings
  • Minute taking & preparation for board, shareholder & committee meetings
  • Managing the collection, collation, uploading & distribution of board & committee papers, using Diligent (company secretarial system), including liaising with all relevant stakeholders, and managing communications to the board more generally
  • Co-ordination of board meetings & committee meetings & the development & management of a company secretarial reporting calendar
  • Advising on corporate governance requirements arising from Irish company law and corporate best practices, as well as internal requirements
  • Providing advice, support and guidance to the Chairman and directors and play a leading role in good governance by helping the board and its committees function effectively, including conducting board effectiveness reviews, developing training plans and reviewing board & committee terms of reference.
  • Managing changes to board and committee membership, including appointments, induction and training, and liaising with all relevant stakeholders, including within AXA Group
  • Maintenance of statutory registers, minute books & other corporate records.
  • Assisting on all corporate reporting requests from the Company & its branches/representative offices in locations all over the world, with the support of the Compliance team
  • Assisting with Company administrative, Know Your Client & Anti Money laundering queries from the Company’s global branches in conjunction with the Compliance team
  • Supporting the provision of company secretarial services to affiliated entities within the AXA XL Division
  • Liaising with functions/units within the Company to ensure the efficient provision of information & keeping check on information flow
  • Supporting all knowledge management processes to ensure that the Company’s/AXA’s corporate knowledge database is up to date
  • Ensuring that all regulatory and statutory filings are completed on a timely basis
  • Assist management in ad-hoc Company projects to improve governance standards & the provision of company secretarial services across the AXA XL Division
  • Managing, monitoring & responding to general company secretarial queries
  • Assisting with corporate authority documentation including powers of attorney, certifying, legalizing and authenticating documents and liaising with notaries and consulates where required
  • Assisting with the development of team operating procedures
  • Assisting with various corporate and commercial legal queries and projects

Requirements

  • A relevant third-level or ICSA qualification, or legal qualification
  • Knowledge of Irish company law in general & particularly the Companies Act 2014
  • Minimum 5 years’ experience within the company secretarial field or in a similar position, ideally in a regulated financial services environment.
  • Experience using Diligent or other board platforms preferred

  • A proactive approach to problem-solving with good decision-making capability
