Director of Contracts Essential Roles and Responsibilities:

General

  • Manages the Contract Managers and their subordinate contract administration staff in the day-to-day performance of their jobs, and exercises full authority for personnel actions
  • Demonstrates an extensive knowledge of and experience with contract types ((FFP, CPFF, CPAF, T&M, FP LOE, et al.), contract life cycles, and applicable U.S. Government contract regulations (FAR & Agency FAR Supplements) as well as other Public Laws affecting contract performance and compliance
  • Develops, directs and trains to policies and processes that govern the contract administration staff, demonstrating extensive knowledge of processes and functions
  • Provides organizational wide guidance on and legal assessments of contractual terms for all customer proposal requests and active contracts to ensure compliance by all parties
  • Ensures that project & department milestones and goals are met while adhering to approved budgets

Contractual Agreements

  • Reviews, prepares, and negotiates all routine agreements to include nondisclosure, teaming, consulting and other contractual agreements not administered by the Director of Purchasing
  • Prepares subcontract and consultant Agreements to include, drafting of the agreements to fit the specific arrangements and requirements, ensuring all required contractual flow down clauses are properly incorporated, and negotiating the terms and conditions to include payments, delivery schedules, and rights in intellectual property as required

Contracts & Orders

  • Acts as company’s primary point of contact for all contractual matters involving Government and customer contracting officials
  • Reviews, interprets and ensures compliance with all contract terms and conditions
  • Reviews and approves all contractual correspondence prepared by the Contract Managers
  • Prepares and tracks all cost claims for engineering change proposals, technical insertions/deletions, and Government or customer directed changes
  • Oversees the tracking of all required deliverables, to include those for subcontracts and consultants to ensure compliance with the applicable agreement and any related Government or customer order
  • Directs the preparation and release of monthly reports such as bookings, project/contract status, subcontractor and consultant performance, and active proposal status
  • Trains and manages staff to ensure the proper set-up in the CostPoint accounting system of all projects for customer contracts and orders, compiling for accounting and other users, copies of all related baseline contractual documents, modifications, delivery orders, purchase orders, lease and service agreements, project budgets, and correspondence
  • Manages the preparation or coordination of all billings against contracts and orders
  • Provides direct support to purchasing, programs, operations, and finance on matters requiring contract input

Proposals

  • Reviews and provides guidance on all RFPs and RFQs, prepares exceptions or comments, and directs the completion of required Representations and Certifications
  • Prepares, tracks and leads or assists with the negotiation all cost proposals and delivery orders related to Government or customer contracts and orders
  • Tracks and approves billings, as appropriate, to ensure they are within the rates and prices agreed upon and charged to the correct job number

Additional Duties and Responsibilities

  • Assembles financial and strategic information upon request
  • Actively supports production with financial and project information
  • Accomplishes all tasks as appropriately assigned or requested

Qualifications:

  • Bachelor’s degree required; advanced degree strongly desired
  • 10 + years’ relevant experience administering U. S. Government and commercial contracts, 7+ years as an individual contributor, to include 3-5 years leading a contract focused team
  • Proficiency in MS Office; Experience with an enterprise system (e.g., CostPoint)
  • Certified Professional Contract Manager (CPCM) certification strongly desired

Minimum Requirements:

  • Advanced knowledge of FAR/DFARS and Government Cost Accounting principles
  • Advanced knowledge of the Uniform Commercial Code and other Public Laws affecting contract compliance
  • Ability to draft moderate to complex, non-routine contractual instruments in accordance with prescribed templates and guidelines
  • Excellent negotiation, team building, and management skills
  • Ability to produce creative resolutions to contractual issues
  • Experience working in a diverse contract administration environment encompassing military, government and commercial customers, and supporting internal manufacturing, repair, and technical service operations
