Summary:

We are currently recruiting a Legal Counsel to join our team in either our Dublin or Belfast office.

Reporting to the General Counsel the successful candidate will be responsible for a broad role to include providing support to client-facing and internal clients. The ideal candidate will deliver proactive legal advice to the client teams, support functions and to relevant committees and boards within the business. Hawksford is in an expansion phase the new recruit will be part of that journey.


Principal Accountabilities:

Nature of work: Provision of legal advice for internal clients


Corporate Commercial

  • Advising on various aspects of Irish law, with a focus on corporate/commercial responsibilities

  • Drafting, reviewing and negotiating legal documentation and agreements including, licensing agreements, assignments, custodial and nominee agreements, service level agreements, powers of attorney, indemnities, NDAs, declarations and certifications

Banking

  • Reviewing banking documentation, including loan agreements, contracts, facility letters, security arrangements pertaining to client contracts to which the group is party as service provider
  • Advising client teams in relation to legal obligations in respect of financing arrangements whether as trustee or otherwise

Trusts

  • Advising our trustees on various points of trust law
  • Assisting our trustees through various transactions
  • Advising on proposed trust distributions
  • Winding up or resettlement of trusts

Internal

  • Assisting with third-party service provider relationship e.g. reviewing and negotiating service contracts, agreeing confidentiality agreements, reviewing supplier contracts
  • Preparation of legal policy documents, internal reports and informing legal risk management
  • Assisting the organisation with due diligence requests, whether audits or third-party diligence as necessary
  • Collaborate with client-facing and non-client-facing teams, providing legal support and guidance as and when required, including but not limited to the compliance and human resources teams
  • Involvement in cross-border matters and willingness to roll up sleeves and get involved where needed
  • Support the business as it expands

Skills & Qualifications:

  • Qualified lawyer with a minimum of 4 to 6 years PQE preferably with a track record with a well-regarded law firm
  • The role is broad and the candidate will have a background in either private wealth/private client or corporate or commercial. The ideal candidate will have private client experience
  • Strong, solution-based, client focus, able to provide clear and comprehensive advice
  • An ability to work effectively as part of a team as well as being self-motivated to work on their own
  • Excellent drafting and communication skills, attention to detail is paramount
  • Strong organisational skills
  • Ability to manage complexity in a global environment
  • Professional attitude, demonstrating confidence when offering advice and support
  • Challenging but pragmatic mindset
  • Confident in presenting reports and ideas to boards and senior management
