We are currently looking for an experience Legal Counsel.
This is a newly created role to support our growing PLC business in Ireland and abroad, with key interactions across all areas of our business.
Our legal team is growing and looking to bring on someone who thrives in an in-house environment that is focused heavily on corporate M&A.
The role will be reporting into the General Counsel & Company Secretary, working closely with the Leadership Team and Senior Leadership teams across Uniphar Group.

Key Responsibilities:
- Managing various legal projects to completion in an efficient and effective manner and liaising with internal stakeholders in the business for input and support in such projects.
- Assisting with the execution of corporate M&A, including liaising with external advisors, input on transaction documents, reviewing due diligence outputs, legal project management and ancillary workstreams.
- Advising internal stakeholders on a wide range of legal, corporate and compliance issues, disputes and any other legal matters that arise in the day-to-day operation of the business.
- Advising on and negotiating a wide range of commercial contracts and supporting the development and implementation of legal templates.
- Driving execution of these agreements in an efficient manner, partnering with internal stakeholders for input and support in such projects.
- Assisting with listed plc regulatory requirements and corporate governance matters.
- Managing and prioritizing workload in relation to timelines and stakeholder requirements.
- Setting the standard for professional service and delivering best practice in respect of risk management and service delivery for an in-house legal function.
- Identifying inefficiencies in day-to-day operations and delivering on recommendations for process improvements.
- Engaging and liaising with external counsel (managing and minimizing costs to the extent possible).
- Undertaking other reasonably related duties (including administrative tasks)
Skills and Competencies
- Qualified solicitor with 5+ years PQE in a corporate department in private practice or in-house
- Experience assisting on M&A transactions, including due diligence, negotiating and drafting transaction documents and related contracts.
- Good project management skills
- Good interpersonal and managerial skills
- Ability to thrive in a high-paced work environment
- Professional maturity to take ownership of various assignments with limited supervision
- Flexibility and willingness to work on a broad variety of matters
- Good attitude, strong work ethic, and the ability to work well in a team environment
- Commercial and solutions focused
Desired Experience
- Listed plc experience beneficial but not required.
