Role overview
We are looking to recruit an Assistant Company Secretary to provide company secretarial support to our internal and external clients.
Reporting to the Head of Company Secretarial - Ireland, the successful candidate will be a key member of the team in Dublin. This role will interact with the most senior individuals in both our own organisation and that of our clients. It is very much a hands on role, providing company secretarial and administration services to a range of clients and structured finance, special purpose vehicles (SPV’s) and other corporate entities both regulated and non-regulated.
The successful candidate will bring innovative views of best practice to the company secretarial and the wider Corporate Services offering. They will have a commercial “can do” attitude to problem solving, alongside the ability to drive new business once they have acclimatised to the role. This is an exciting time to join Law Debenture. Principal duties
The successful candidate will work closely with the team to acquire the skills necessary to carry out the following responsibilities :
- Preparing and filing of annual returns with the Companies Registration Office.
- Preparing board and shareholder packs and advising on procedures surrounding meetings under the Act.
- Maintaining and updating statutory registers and minute books.
- Assisting clients with their compliance requirements under the beneficial ownership regulations.
- Preparing and filing of documentation relating to company incorporations, change of name applications, business name registrations, re-registrations and all areas of post incorporation compliance.
- Re-constituting historic statutory registers.
- Carrying out due diligence.
- Attendance at board meetings and minute-taking.
- Assisting with the notarisation and apostilling of documentation.
- Liaising with and advising clients and colleagues in matters of company law and provision of support to the members the company secretarial department to complete their daily workflow
- Preparing documentation with regards to company re-organisations to include, group structures, share for share exchanges, share for undertakings, share capital reductions and summary approval procedures.
- Drafting documents and resolutions following firm precedents.
- Providing support to internal colleagues on compliance and technical related matters.
- Manage registered office post.
- Assist with client onboarding including collating Anti-Money Laundering Documentation and checks.
- Dealing with telephone queries and ensuring that such queries are handled in a professional, courteous and prompt manner.
- Assist with billing and following up payment of fees outstanding.
- Other administrative tasks and ad hoc projects as requested/ required from time to time
Candidate Profile:
- University degree and ICSA qualified with experience of providing Company Secretarial services
- Intellectually curious, independent thinker and problem solver who ‘gets things done’
- Solid understanding of the operations of the international financial markets
- Excellent communication and presentation skills
- Experience and proven track record of multiple stakeholder management
- Ability to help support growth within the Corporate Services business
- Competent user of Diligent company secretarial software, or similar and MS office systems including Word.
- Excellent management skills.
- Comfortable working in a small office and appreciative of the demands that can place on all team members. Willingness to help others.
